Dottir represented a publicly listed client in litigation related to collective redundancy and re-employment obligation.
Dottir advised YIT in their IT outsourcing, resulting in a strategic partnership with Tech Mahindra in which a significant part of YIT’s IT services will be harmonized and consolidated to one dedicated supplier. This high-profile outsourcing case included a full procurement, RFP and negotiation process. The partnership will support YIT's objectives to strengthen digitalisation and data management and improve the company's competitiveness.

Carbonaide Oy, a spin-off from VTT, is commercialising a carbon capture and storage technology that has the potential to make concrete carbon negative, significantly reducing its carbon footprint. The company has secured a total of EUR 1.8 million in seed funding to support its efforts.
Carbonaide's technology makes it possible to cut carbon emissions in half compared to traditional concrete products. Currently, they are constructing the world's first industrial pilot production line for carbon negative concrete, with plans to launch ten production units in the Nordics by 2026.
Dottir acted as Carbonaide's legal advisor throughout the spin-off process.

IPRally offers a patent search application sold as a SaaS cloud service. Using artificial intelligence that mimics a patent expert's thinking, the app quickly provides relevant patents from a database of tens of millions. This tool enables operators to safeguard their technology and gain insight into their competitors' intellectual property rights. IPRally will use the funding to develop its patent intelligence and grow its business in Europe and the US.
Endeit Capital is a growth equity firm that invests from its offices in Amsterdam, Hamburg and Stockholm. IPRally was their fourth Nordics investment after Stravito, Happeo and Leadfeeder (sold).
Dottir advised Cronvall in their EUR 1.5 million seed funding round. The round was led by Innovestor and participated by certain Finnish family offices such as Inasis and Procurator.
Cronvall is a B2B marketplace that connects buyers to suppliers in the construction and industrial manufacturing industries with an on-demand online store. It brings features familiar from consumer commerce to business-to-business e-commerce, making the buying process more efficient, convenient, and fast.
With the investment Cronvall will continue to develop and expand further its platform.

Walker & Handson Oy
Dottir represented the seller in the sale of Finnish CX design company Walker & Handson to Digitalist Finland, a fully-owned subsidiary of Digitalist Group.
The acquisition of Walker & Handson will strengthen Digitalist Finland's management and tech & design business. The seller Jussi Hermunen has been appointed as CEO of Digitalist Finland.

Web 3.0 is the third generation of the internet, a development stage that aims to offer services that enable decentralised decision-making and commerce. Web 3.0 unlocks potentials for the emergence of novel business models and services, but it also requires a shared set of rules.
In autumn 2022, Sitra and Dottir collected views from the industry operators on the state of web 3.0 in Finland as well as on legislative measures aimed at advancing the development.
Based on those discussions with some of Finland's top experts, Dottir and Sitra created seven recommendations to improve business opportunities for web 3.0 companies in Finland.

Newil&Bau was launched in 2020 and reached EUR 80 million in residential apartment sales in 2022. The company's next-generation housing product, that combines ecological homes with a digital platform and the services it offers, will be launched later this year.

Dottir advised Woamy in their EUR 1 million seed funding round. The round was led by CMPC Ventures and participated by Secto Design.
Woamy, an Aalto University spin-out founded in 2022, develops bio-based, recyclable and biodegradable foam with a mission to replace all harmful plastic foams. Woamy’s cellulose-based foam is superior in strength and lightness compared to other biofoams. As an acknowledgment of the significance of this innovation, the project’s researchers won the Aalto University School of Science Innovation of the Year Award in December 2022.
With the investment, Woamy aims to scale up its technology, ramp up its R&D capabilities and build a global customer base.

The Upright Project
Dottir advised The Upright Project in their EUR 5 million seed funding round. The round was led by German-based green-tech VC Planet A Ventures alongside First Fellow Partners, a fund founded by investor Risto Siilasmaa.
The Upright Project, founded in 2017 by Annu Nieminen, builds a new type of a quantification model to measure and optimize the net impact of companies on the environment, health of people, knowledge creation and society. Upright's model is based on open science and artificial intelligence.
With the investment, Upright aims to expand their open-access database and include all businesses globally with more than 10 employees.

Dottir advised Hyperion Robotics in their EUR 3 million seed funding round. The round was led by Lifeline Ventures and participated by Impact VC Übermorgen, PC Rettig & CO Impact, Goldacre and Katapult.
Hyperion Robotics, founded in 2018, aims to transform the construction industry. The company is bringing a solution of automation and sustainability to the industry by combining large-scale 3D printing with low-carbon concrete.
Thanks to the funding, Hyperion will scale up its R&D capabilities and ramp up its software and materials technology. Hyperion will also take mobile 3D printing micro-factories global.
Kapacity.io and NREP have signed a framework agreement. With the agreement, NREP's properties will be covered by Kapacity.io's electricity demand response service. Dottir was Kapacity.io's legal advisor during the process.
Kapacity.io is building the future of smart energy grids with an electricity load balancing service focused on buildings. They aim to both reduce emissions from electricity consumption and mitigate the load on the power grid.
Dottir represented a client company in a case relating to the application of the Act on Cooperation within Undertakings. The case was handled by the Cooperation Ombudsman.
Dottir advised Rentle Oy in their EUR 3.8 million seed funding round. The investors in the round comprised Tera Ventures, Anthemis, Maki.vc, Mission One Capital, The Fund as well as a number of European and US family offices and angel investors.
Rentle is a commerce platform for the circular economy providing merchants with software that makes it easy and profitable to take part in the circular economy. Rentle plans to use the funding to invest in product development to meet the rapidly growing demand from existing and new merchants.

The circular economy company Tracegrow has collected a total of EUR 2.5 million in funding since last summer. Dottir advised Tracegrow in their funding process. Nordic Foodtech VC, a private equity fund that invests in food technology, invested in the company among others.
Tracegrow, founded in 2021, manufactures organic fertilizer from alkaline batteries. Manufacturing is done by crushing the batteries and separating the trace elements from it into fertilizer. The fertilizer is already sold in 15 countries.
The funding supports Tracegrow's strategy to operate internationally. The company also plans to expand into the production of raw materials for the battery industry.
Dottir advised Fisher King in relation to the production of the TV series Helsinki Syndrome.
Fisher King is a Finnish production company focusing on genre driven productions.
Dottir advised Ruokaboksi Oy in their EUR 3.5 million funding round. The round was led by Nordic Foodtech VC and participated by Suomen Teollisuussijoitus Oy as well as certain existing shareholders.
Ruokaboksi offers recipes along with fresh ingredients for several meals delivered to your door. Their goal is to make everyday cooking easy and effortless while reducing food waste and supporting domestic food production.
Ruokaboksi will use the funding to develop the content and selection of its products and also to expand its operations to international market.
Dottir advised Hoiwa in their EUR 2 million seed funding round. The investors in the round comprise Nordia Management Oy, Olli Sirkiä (Trado Capital Oy) and Rake Oy.
Hoiwa, founded in 2020, is developing a platform service that helps alleviate the chronic labor shortage in the care industry. With the help of Hoiwa's technology, more than 3,000 community nurses, practical nurses and nurses are already employed in both the private and public sectors. Fadumo Ali, the founder of Hoiwa, was chosen in 2021 as one of the influencers of the health sector in Finland and in 2022 Ali was awarded as Espoo's Entrepreneur of the Year.
Hoiwa plans to use the funding to increase the number of its employees and to expand its operations in the Central European market.

Dottir advised the lead investor World Fund in the EUR 128 million Series A2 financing round of IQM Finland Oy, the leading European startup building quantum computers for HPC centers, research institutes and businesses across the continent.
World Fund is the largest European-focused climate venture capital fund. The round was also participated by Bayern Kapital, EIC Fund, OurCrowd, QCI SPV, Tofino and Varma, as well as existing investors MAKI, Matadero QED, MIG Fonds, OpenOcean, Salvia GmbH, Santo Venture Capital GmbH, Tencent, Finnish Industry Investment, and Vsquared.
IQM will use the funding to expand international business and accelerate product development, with a focus on developing quantum processors to help tackle the climate crisis.
Dottir advised Happeo on their USD 26 million series B funding round. The round was co-led by Endeit Capital, Smartfin and Evli Growth Partners and joined by Inkef Capital, Maki.vc and Vendep Capital.
Happeo offers an intranet for fast-moving businesses for solving information chaos. Happeo's digital portal centralizes businesses’ tools, knowledge and documentation into one place - also connecting the people using them.

Kokemuksia.fi is a platform for publishing customer experiences. In recent years, Trustmary has focused more on the internationalization of its SaaS product, a testimonial tool for lead generation. With the sale of Kokemuksia.fi, Trustmary can fully focus on developing their software and growing their business.
Solnet Green Energy
Dottir advised Solnet Green Energy on their EUR 15 million funding round led by EAB Private Equity.
Solnet helps large and medium-sized companies in achieving their sustainability goals in Europe by providing various solar energy solutions and services. The company's largest markets are currently Germany, Finland, the Netherlands and Poland. Solnet is the fastest growing Finnish company producing renewable energy services on the European market.

A Finnish startup Starcart Oy raised EUR 1.4 million in growth funding. The funding round was led by venture capital fund Inventure.
Starcart, founded in 2021, solves the challenges of online shopping with its new kind of ecommerce consumer service. Starcart provides a platform for a centralized selection of different online stores. In Starcart's online store, the customer automatically finds the best price and fastest delivery for the product they want.
Dottir advised Starcart in the funding round. Thanks to the new funding, Starcart plans to expand its operations in Finland and later in Europe.

Knowit AB (publ)
Dottir advised digital transformation consultancy firm Knowit AB (publ) in its acquisition of the Finnish strategy, branding and commercialization agency Marketing Clinic. Marketing Clinic, established in 2004, has a strong market position in Finland and great reputation in the fields of management consulting, branding and customer insight.
Through the acquisition, Knowit strengthens its position in management consulting on the Finnish market and broadens its offering in growth and commercial strategy.
Dottir repsented a client company in a series of disputes relating to termination of employment for individual reasons, as well as breaches regarding, e.g. the client’s trade secrets.
The investor services company Inderes Plc makes a minority investment in HC Andersen Capital (HCA), a Danish provider of investor communications services and equity research. As a result of the transaction, Inderes holds a 20-percent stake in the company. The transaction is carried out partly in cash and partly in a directed share issue.
"This collaboration opens up an effective way for us to expand into new markets", said Mikael Rautanen, CEO of Inderes.

Dottir advised the shareholders of Disior on the sale of the company to Paragon 28 [NYSE: FNA], a Colorado-based foot and ankle medical devices company.
Disior develops 3D image analytics software for clinicians. Each anatomy-specific module of Disior's software enables clinicians to have the data needed for diagnosis, creating patient-specific surgical plans and assessing treatment outcomes.
Dottir successfully represented a Finnish growth company and its majority shareholders in a dispute against minority shareholders of the company. In the case, minority shareholders claimed compensation on various grounds for transfering the brand and related rights to another company owned by some of the same individuals.
Dottir represented a multinational consumer services company in an arbitration regarding a franchising agreement. In the case, a franchisee claimed liquidated damages based on non-performance of the franchisor’s obligations in relation to a Master Franchise Agreement. In its counterclaim, the franchisor claimed liquidated damages for its part for breaches of the franchisee's obligations derived from the same MFA.
Dottir successfully represented two Singapore-based venture capital companies in an arbitration relating to an investment round of a Finnish growth company. In the case the investors claimed payment of the agreed compensation in accordance with the parties’ fundraising and partnership agreement. The respondent disputed the claims alleging that the investors had neglected its duties under the parties’ agreement.
Dottir successfully represented a founder of a health technology start-up in international arbitration proceedings regarding alleged breaches of a CEO agreement and shareholders’ agreement, as well as an allegation of said individual’s bad leaver status.
Dottir represented an asset management group, in a series of cases relating to an employee’s/shareholder’s hostile takeover attempt that led to the termination of the person’s employment. The incident, potentially threatening tens of millions of euros of assets under management, generated several legal proceedings, including litigation and arbitration as well as administrative proceedings. The cases revolved mostly around employment and corporate law, but there were also connections to e.g. trade secrets and data protection issues.

Dottir defended Flow Festival against charges for environmental infraction. On 14 December 2020 the District Court of Helsinki dismissed all charges brought against Flow Festival. The trial is characterised as a precedent for the entire event industry.
Flow Festival was charged for surpassing noise limits set by the City of Helsinki during the festivals in 2017 and 2018. In the trial, it was left uncertain whether the limits had actually been exceeded. This was due to the effect of weather conditions, the location of the measuring point and its distance from the sound source. Also, the Court concluded that Flow Festival had taken all measures possible in order to decrease the volume without compromising public safety.
Flow Festival is a music festival taking place at the historic Suvilahti power plant area close to the Helsinki city centre yearly in mid-August.

The value of the 10 year agreement is approx. 286 MEUR and the new system will serve more than 700.000 patients throughout Finland.

The acquisition was one of the most influential transactions in the media and music business in Finland during 2018 as a big media group expanding to artist management business. With operations in Finland, the Netherlands, Poland, Belgium and Sweden, Sanoma Group net sales totalled EUR 1.3 billion and the Group employed more than 4400 professionals in 2018.
